Section 1. Payments & Fees
- Full payment or an agreed-upon deposit is required before work begins.
- Accepted payment methods: PayPal, Zelle, Venmo, Cash App. Clients are responsible for any transaction fees in their area.
- Payments not completed, reversed, or held will pause or cancel the project.
- Payment overdue by more than 8 business days may result in late fees, cancellation, or refusal from future services.
Section 2. Refunds & Chargebacks
Once a project has been completed, delivered, and approved, all sales are final.
Refunds may be considered only if:
- A request is made before work begins
- A confirmed misunderstanding occurs during the early planning phase
- No drafts, previews, or deliverables have been providedApproved refunds may be partial to account for time spend on communication, planning, research, or preliminary work.
All refund requests must be submitted in writing within 4 days of the issue arising.
Chargebacks or disputes initiated without first contacting Matthew may result in:
- Revocation of usage rights
- Copyright reverting fully to Matthew
- Refusal of future services
- Submission of project documentation to the payment provider
Section 3. Revisions & Approvals
- Projects include up to three (3) rounds of revisions unless otherwise agreed.
- Additional revisions are billed separately. Cost varies on work load and can be negotiated.
- Client approval of concepts, layouts, or drafts constitutes acceptance of creative direction.
- Partial refunds of 40% are issued for dissatisfaction after approval or during final production.
Section 4. Project Timeline
Estimated timelines are provided at the start of the project and are dependent on client responsiveness and project complexity.
Delays in communication or asset delivery from the client may extend timelines or result in cancellation.
Rushed requests require written agreement and may incur additional fees.
Section 5. Client Responsibilities
Clients agree to:
- Provide accurate information, assets, and feedback in a timely manner
- Confirm ownership or licensing rights for any provided materials
- Review and approve deliverables promptly
Matthew is not responsible for delays or issues caused by incomplete or incorrect client-provided materials.
Section 6. Communication
Preferred communication methods are Discord or email.
Clients are expected to respond within 2–4 business days. Extended inactivity may result in project pausing or termination.
Section 7. Termination
Either party may terminate the agreement at any time with written notice.
Upon termination:
- Completed and in-progress work will be invoiced or deducted from payments made
- No refunds are eligible for completed or half-completed work
Matthew reserves the right to decline or cancel services if a client becomes uncooperative, disrespectful, violates these terms, or engages in suspicious behavior.
Section 8. Delivery & File Retention
Final deliverables will be provided in the agreed formats (e.g., png, jpg, svg, eps, psd, ai, pdf) via email, Discord, or cloud storage.
Clients are responsible for downloading and backing up files. Matthew does not guarantee indefinite file storage or restoration.
Editable source files are not included unless requested in advance and may require an additional fee.
Section 9. Portfolio Use & Promotion
Unless otherwise agreed in writing, Matthew may display completed work in portfolios, social media, advertisements, and design communities.
Client names, logos, and testimonials may be used unless confidentiality is requested prior to project start.
Section 10. Copyright, Licensing & Ownership
Matthew retains copyright ownership of all work until:
- Full payment is received
- Final approval is given by the client and agreed upon by Matthew
Upon completion, the client receives a license to use the final deliverables for their intended purposes unless otherwise agreed.
Redistribution or resale are prohibited.
Unused concepts or rejected drafts may be reused by Matthew.
Section 11. Long-Term Clients & Partnerships
Repeat or long-term clients may qualify for partnership pricing, including discounts of up to 45% on future projects.
Partnership discounts are discretionary, non-transferable, and may be adjusted or revoked at any time.
Section 12. Confidentiality & NDAs
All projects are treated as non-confidential unless a written NDA or confidentiality request is agreed upon prior to project start.
Section 13. Age Requirements
Clients must be at least 16 years old to request services.
Clients 18 years or older are recommended for legally binding agreements. Clients under 18 may require parental or guardian consent depending on regional laws.
Section 14. Limitation of Liability
Matthew is not liable for indirect, incidental, or consequential damages arising from the use of delivered work.
Total liability shall not exceed the amount paid for the project.
Section 15. Force Majeure
Matthew is not responsible for delays or failure to perform due to events beyond reasonable control, including but not limited to technical failures, illness, or external service outages.
Section 16. Agreement & Negotiation
If a client does not agree with any section of these Terms & Conditions, they should specify the section(s) they do not understand or agree with. Negotiations may then be made with Matthew before the project begins.
By commissioning services from Matthew, the client acknowledges, understands, and agrees to be bound by these Terms & Conditions, unless otherwise amended in writing.
Section 17. Governing Law
These terms are governed by the applicable laws of the designer’s operating jurisdiction.
Section 18. Agreement & Signature (U.S. Contract Standards)
These Terms & Conditions constitute a legally binding agreement under applicable United States law.
The client agrees to provide their first and last legal name for identification and contract purposes.
This agreement may be accepted by physical or electronic signature, written confirmation via email or message, or by submitting payment. Electronic acceptance and signatures are legally binding under the U.S. E-SIGN Act.
By commissioning services from Matthew, the client agrees to be legally bound by these Terms & Conditions.
